Circular No. 38/14: Seminar on the Fundamentals of Company Law (5 Sept 2014)

The Continuing Professional Development Sub-Committee of the Johore Bar is organizing a SEMINAR ON THE FUNDAMENTALS OF COMPANY LAW that will be conducted by MR. TAN KIM SOON, a member of KL Bar.

This seminar will focus on the fundamentals issues of company law that are relevant to both experienced and budding practitioners.

Key issues that will be presented at this seminar include:



Distinctive role of:

(a) Shareholders;

(b) Directors;

(c) Employees; and

(d) Creditors.


Remedies for preservation of rights of:

(a) Shareholders;

(b) Directors;

(c) Employees; and

(d) Creditors.


Modification of rights under Companies Act 1965:

(a) Section 181 Companies Act 1965;

(b) Section 176 Companies Act 1965;

(c) Receivers and Managers Appointed pursuant to Contract (Debenture);

(d) Receivers and Managers Appointed pursuant to Court Order;

(e) Provisional Liquidator Appointed; and

(f) Liquidator Appointed.

About the Speaker

Mr. Tan Kim Soon has worked for Commercial and Merchant Banks in various capacities between 1979 and 1995. During this period, he held the distinction of serving as the Honorary Chairman of the Institute Bankers of Malaysia.

In 1996, Mr. Tan Kim Soon was called to the Malaysian Bar and has since been practising under the style and name of Messrs Tan Kim Soon & Co.

Mr. Tan Kim Soon is a member of the Conveyancing Practice Committee and the Corporate and Commercial Law Committee, and the Chairperson of the Bank Negara Sub-Committee. He represented the Bar Council in meetings with various government departments on proposed changes of law relating to property ownership and management, and other bodies affecting the legal profession. He also delivers lectures on risk management for pupils in chambers under the Ethics Course conducted by Bar Council, and other lectures on conveyancing and risk management issues relating to Professional Indemnity Insurance.
